Confidential Information Confidentiality Policy
1. 目的
Purpose
作为一家软件产品公司,公司严格禁止任何员工未经授权向公众、客户、供应商等其他任何第三方或本公司非“需要知道”的员工泄露公司机密信息。本政策明确了机密信息保护的指导原则。
As a software Company, the Company prohibits any employees to disclose confidential information to the public, customers, suppliers or any other third parties, or any employees who is not "need-to-know", without authorization. This regulation outlines the guidelines for protecting confidential information.
2. 适用范围

本规定适用于本公司所有管理人员和员工。
This regulation applies to all managers and employees of the company.
3. 定义
Definitions
机密信息:机密信息是公司的宝贵资产,因此必须严格禁止未经授权的机密信息披露。机密信息包括所有尚未公开发布但一旦暴露给公众将可能影响公司战略发展的信息,或一旦泄露给第三方(如竞争对手)会给公司的经营或业绩造成不利影响的信息。以下是机密信息的一些例子(不完全列举):

Confidential Information: Confidential Information is a valuable asset of the Company, therefore, it must be strictly prohibited to disclose confidential information without authorization. Confidential Information includes all the information that has not been publicly disclosed but may affect the Company's strategic development if exposed, or the information that may cause unfavorable impact on the Company's operation or performance if disclosed to third parties (such as competitors). Here are some examples of confidential information (not an exhaustive list):
Unpublished technical information, technical specifications, technical inventions, proprietary technologies, and technical secrets
Information on the development or release of new products
Major product defects or product changes
Business strategy and business planning
Market strategy/market activity plans
Contracts under negotiation with clients
Internal audit reports
Quotations from clients
Cost composition and pricing of products
Mergers and acquisitions
Financial data and information
All legal activities
Employee personnel information
Salary information
Exclusive information about customers, suppliers, and partners
Insurance claims
Trade secrets
All matters for which the company is subject to confidentiality obligations under laws or relevant agreements
Technical solutions, software development design documents, software source code, software encryption technologies and methods, technical data, databases, and other technical documents related to products and sales
All other confidential documents, materials, or information
非机密信息:非机密信息是指可以与外界人士公开谈论的信息。非机密信息包括所有公司在各种媒体上公开发布的信息,如在公司的网站上或在互联网上发布的信息。
Unconfidential information: Unconfidential information is information that can be publicly discussed with outside parties. Unconfidential information includes all information publicly published by the Company in media, such as on the Company's website or on the Internet.

4.1 保护公司机密信息
Confidential Information Protecting
员工未经公司管理层书面授权不得在公司及公司以外透露或使用机密或专属信息。
员工在公司任职期间,要及时并全面地向公司汇报由其独自或与其它同仁共同开发或设计的所有发明、重大的技术、业务创新或技术资料及成果等其他机密信息,并将其全部归属于公司。除非公司以书面方式同意,在任职及随后的时间里,任职人不可以公布或透露任何在任职期间可能得到或开发的公司及其客户或供货商的属于机密或绝密的有关发明、发现、技术、财务计划、报告及其它事务的信息、知识或数据等。
公司的技术资料与商业信息只能提供给因履行其工作职责而“需要知道”的员工。
无论任职人因任何原因与公司终止或解除劳动关系,任职人将立即交还公司其所拥有或管控的与公司业务有关的所有属于机密或绝密的技术秘密、数据、客户关系、手册、信函、备忘录、笔记、报告、模型和其它保密文件(包括所有的复印件)。
Without written authorization from the Company's management, employees shall not disclose or use confidential or proprietary information of the company, either within or outside the company.
During their employment, employees shall promptly and fully report all confidential information, including all inventions, significant technical developments, business innovations, technical data and other confidential information developed or designed by themselves or with other colleagues, and shall confirm all the confidential information owned by the Company. Without written consent from the company, employees shall not disclose or reveal any confidential or top-secret information concerning inventions, discoveries, technologies, financial plans, reports, or other matters of the company or its customers or suppliers that they may have acquired or developed during their employment, including knowledge, information or data.
The company's technical data and business information shall be provided only to employees who need to know it in the course of performing their job duties.
Regardless of the reason, if an employee terminates or resigns from the company, they shall immediately return to the company all confidential or top-secret technical secrets, data, customer relationships, manuals, correspondence, memos, notes, reports, models, and other confidential documents (including all copies).
4.2 保密确认书
Confidential Agreement
所有可能在任职中接触公司机密信息的员工在入职之日都要签署《保密确认书》。员工在任职期间要严格遵守公司的保密政策。
All employees who may come into contact with the company's confidential information during their employment must sign a Confidentiality Agreement on their first day of work. Employees must strictly adhere to the company's confidentiality policies during their tenure.
4.3 保护第三方的机密信息
Protecting the Confidential information of Third Parties
公司和员工在业务交往中会接触到客户、供应商及合作伙伴的机密和专属资料。这是重要的信任,公司必须尽全力保护这些机密资料,从而获得客户、供应商和合作伙伴的持续信任。
Companies and employees protect third-party confidential information. They come into contact with confidential and proprietary information of customers, suppliers, and partners in business interactions. This is an important trust, and companies must do their utmost to protect this confidential information in order to maintain the ongoing trust of customers, suppliers, and partners.
4.4 机密电子信息
Confidential Electronic Information
以电子媒介(台式机、笔记本电脑、服务器)存储的机密信息,必须储存在安全的服务器上。所有含有机密信息的备忘录、报告、文件、记录、数据等在储存和传递时必须明确标注“机密 Confidential”字样,并且只能以无法被修改的PDF格式传递。
Confidential electronic information that is stored in electronic media (desktop computers, laptops, servers) must be stored on secure servers. All memos, reports, documents, records, and data containing confidential information must be clearly marked "Confidential" when stored and transmitted, and must only be transmitted in an unmodifiable PDF format.
4.5 口头沟通
Verbal Communication
所有员工在参加社交活动、行业会议、商业展示等活动时,当与外界人士进行口头交流时,要保持适当的谨慎,避免泄露任何机密信息。
不要向供应商媒体、新闻机构、分析家等提供任何机密信息。
Oral Communication All employees should be cautious when communicating orally with external parties during social events, industry conferences, business presentations, etc. Avoid divulging any confidential information.
Do not provide any confidential information to suppliers, media, news organizations, analysts, etc.
4.6 与客户和供应商的沟通
Communication with Customers and Suppliers
员工在与客户、供应商和顾问等沟通的时候,亦要保持高度警觉和审慎,防止机密信息的泄露。在必须提供机密信息的时候,要考虑以下问题:
(1) 检查是否与客户、供应商或顾问签订了《保密确认书》。
(2) 公司的技术资料只有在得到明确确认与适当授权后方可向公司以外“需要知道”的人士提供。
(3) 只提供对于履行合同或完成项目必需的信息。
(4) 提醒客户、供应商或合作伙伴保护公司机密信息的重要性。
(5) 如有疑虑,咨询自己的经理或公司相关部门。
Employees who communicate with customers, suppliers, and advisors must also be highly vigilant and cautious to prevent the disclosure of confidential information. When providing confidential information, consider the following:
(1) Check if a confidentiality agreement has been signed with the customer, supplier, or advisor.
(2) Technical information of the company can only be provided to "need-to-know" individuals outside the company with explicit confirmation and proper authorization.
(3) Only provide information necessary for contract performance or project completion.
(4) Remind customers, suppliers, or partners of the importance of protecting the company's confidential information.
(5) If in doubt, consult your manager or relevant departments within the company.
1.1 机密信息的提供
Provision of Confidential Information
任何外部机构(如政府部门、咨询机构、客户、供应商、媒体等)需要公司提供机密信息时,必须提出书面申请,此书面申请要提交给公司相关部门负责人审查同意后,相关部门方可提供。
公司内部单位或个人因工作需要而需索取机密信息时,亦要提出书面申请(例如通过电子邮件),得到相关部门负责人的批准后方可取得相关信息。
当相关部门负责人无法判定其将对外提供的机密信息是否会对公司产生不利影响时,应咨询公司上一级领导。
相关机密信息的提供和审查部门及信息类型见下表:
When any external agency (such as government department, consulting agency, customer, supplier, media, etc.) needs the Company to provide confidential information, it must submit a written application, which shall be submitted to the responsible person of the relevant department of the company for examination and approval before the relevant department can provide it.
When the internal units or individuals of the company need to obtain confidential information due to work needs, they should also submit a written application (for example, through E-mail), and obtain relevant information only after the approval of the head of the relevant department.
When the head of the relevant department is unable to determine whether the confidential information he or she will provide to the outside world will have an adverse impact on the company, he or she shall consult the superior leader of the company.

鉴于我已被 软件开发管理有限公司(以下简称公司)录用从事一定职位的工作,并在任职期间由公司对我的服务支付薪资报酬,我在此同意:
In consideration of my employment in any capacity with (hereinafter referred to as the Company) and of the salary and benefits paid for my services in the course of such employment, I agree:
4. 我已经阅读且同意遵守公司的《机密信息保密政策》,并保证从加入公司之日起直至任职期满,我将及时并全面地向公司汇报由我独自或与其它同仁共同开发或设计的所有发明、重大的技术、业务创新或相关技术成果,并将其全部归属于公司。
To communicate to the Company promptly and fully and to assign to the Company all inventions or significant technical or business innovations developed or conceived solely by me or jointly with others from the time of entering the Company’s employment until any termination of my employment.
5. 对此类发明、创新或相关技术成果,在我任职以及随后的期间内,我将帮助A公司以适当的方式为其获得相关的专利、版权或其它法律保护。上述发明、创新或相关技术成果,不管是否取得专利或版权,全部是公司的专有财产。
To execute all necessary papers to assist the Company during and subsequent to such employment in every proper way to obtain patents, copyrights, or other legal protection for such inventions or innovations, and said inventions and innovations to be the exclusive property of the Company or its nominees, whether or not patented or copyrighted.
6. 对上述之发明、创新或相关技术成果,我将以笔记、草案、图纸或报告及其它相关的方式完成并维护详实的、最新的书面记录,这些记录将始终属于A公司的财产,公司可以随时得到。
To make and maintain adequate and current written records of all such inventions or innovations, in the form of notes, sketches, drawings, or reports relating thereto, which records shall be and remain the property of and available to the Company at all times.
7. 无论我因任何原因与A公司终止或解除劳动关系,我将立即交还公司我所拥有或管控的与公司业务有关的所有属于机密或绝密的技术秘密、数据、客户资料、市场信息、设计图,手册,信函,备忘录,笔记,报告,模型和其它保密文件(包括所有的复印件)。
Upon any termination of my employment, promptly to deliver to the Company all technical know-hows, data, customer and market information, drawings, blueprints, manuals, letters, notes, reports, models and other materials (including all copies) which are of a confidential nature relating to the business of the Company, and which are in my possession or under my control.
8. 除非A公司以书面方式同意,在我任职及随后的时间里,我不可以公布或透露(除非公司要求)任何在我任职期间得到或开发的公司及其客户或供货商的属于机密或绝密的有关发明、发现、公式、财务计划、客户资料、市场信息、内部报告及其它事务的信息、知识或数据,否则我将承担由此给A公司造成的全部损失。
Except as the Company may otherwise consent in writing, not to publish or otherwise disclose (except as my Company duties may require), either during or subsequent to my employment, any information, knowledge, or data of the Company and its customers or suppliers which I may receive or develop during the course of my employment relating to inventions, discoveries, formulas, financial plans, customer and market information or internal business reports, or other matters which are of a confidential nature.
9. 在任职公司期间,除履行公司职责以外,不得以任何形式利用公司的信息、商业秘密、产品信息、客户信息等其他任何机密信息等为自己或其他任何第三人谋取利益。
During my tenure at the Company, I shall not, in addition to fulfilling my duties, use any information, trade secrets, product information, customer information or any other confidential information of the company for my own or any other third party's benefit in any form.
10. 如违反本确认书约定的保密义务,我将承担由此给公司造成的全部损失,并承担包括调职、调薪或解除劳动合同等后果。
If I violate the confidentiality obligations stipulated in this agreement, I will bear all the losses caused to the Company and bear the consequences, including demotion, salary adjustment, or termination of the labor contract.
11. 我声明并重申,在我与公司签订劳动合同时,我没有与上一家公司及以前就职过的任何公司签订过竞业禁止协议或存在其他任何争议。
To declare & reaffirm that I have not signed any non-compete agreement with my previous employers.
12. 我声明在从公司离职时,或者A公司提出请求时,我将无条件返还全部属于A公司的财物,包括记载着A公司秘密信息的一切载体。但当记录着秘密信息的载体是由我自备的,且秘密信息可以从载体上消除或复制出来时,可以由A公司将秘密信息复制到A公司享有所有权的其他载体上,并把原载体上的秘密信息消除。否则,将视为我已同意将这些载体物的所有权转让给公司。公司应当在我返还这些载体时,给予我相当于载体本身价值的经济补偿。
A hereby declare that I will return all property belonging to the Company upon my resignation from or at the request of the Company, including all tangible objects that contain the company's confidential information. However, when the tangible object containing confidential information is provided by me and the confidential information can be erased or copied from the object, the Company may copy the confidential information to other tangible objects owned by the company and erase the confidential information from the original object. Otherwise, it shall be deemed that I have agreed to transfer the ownership of these tangible objects. The Company shall give me economic compensation equivalent to the value of the tangible objects upon my return of these objects.
13. 我声明我在从公司离职之后仍对在职期间接触、知悉的属于公司或者虽属于第三方但A公司承诺有保密义务的商业秘密,承担如同任职期间一样的保密义务和不擅自使用有关秘密信息的义务,而无论我因何种原因离职。
A hereby declare that I shall continue to bear the same confidentiality obligations and refrain from using any confidential information acquired during my employment at the Company, even after my resignation, regardless of the reason for my resignation.
14. 若我违反上述承诺而导致公司遭受损失的,公司有权向我追偿,并有权从乙方我的工资、津贴或其它报酬中扣除。
If I breach the above commitments and cause loss to the Company, the Company has the right to pursue compensation from me and has the right to deduct my salary, allowance or other remuneration.
